Our mission is to be a trusted advisor in all executive compensation matters by providing independent, thoughtful, balanced advice and analysis in collaboration with our clients.


Our Approach


We are always mindful of every party's individual perspectives. We realize that the owners of the business might have the ultimate say in pay matters but finding the right balance is in the owners' best interests. While we have expert knowledge on many complex issues, we are humble enough to admit that there will always be more for us to learn and we are more interested in finding the right answers or solutions for our clients than being right. We look forward to collaborating with our clients rather than provide prescriptive advice and we view each and every conversation and consulting assignment as an exciting opportunity to learn more for the benefit of all of our current and future clients. In the spirit of continual improvement, we seek to find new and innovative ways to think about pay and incentives while being cognizant of the potential minefield of rules, regulations and governance issues that need to be considered.


Who We Are


Technical Compensation Advisors was founded by Andy Restaino, a leading expert in complex and technical issues in executive compensation. With over 25 years of experience, Andy has advised clients on a wide range of issues, including:

  • Proxy disclosure
  • Valuation of options and other long-term incentives
  • Accounting for stock-based compensation
  • Estimation of parachute values
  • Incentive plan design.

Prior to founding TCA, Andy was a global resource for the executive compensation consulting practices at Towers Perrin and Towers Watson. While at Towers, Andy was considered "the consultants' consultant" and was called upon to assist with various technical issues at hundreds of clients.


In addition to client-work, Andy also developed and maintained various templates and models, led training sessions on technical matters, wrote various white papers, internal memos and articles to help the practice stay current as new regulatory developments occurred, and acted as a liaison to academics.


Andy has an undergraduate degree in music from Loyola University and an MBA from St. John’s University. He holds the Chartered Financial Analyst designation and is a member of the New York Society of Security Analysts and the CFA Institute.
